Company formation and amendment procedure at our office

1. Step: consultation

  • Choosing a company name is a crucial step in the company formation process. The business name must include hungarian characters and reflect the nature of the business without being confusingly similar to existing company names.
  • Be prepared to provide the following information: company name, registered office, details of members, personal data of executives, and type of business.
  • Contact us.

2. Step: company name check, founding document

  • Verify whether the chosen name is still available in the company register.
  • Prepare the founding document. The founding document is the official document establishing the new company, containing its name, registered office, share capital, and the legal and organizational structure of the company. The document will be jointly signed by the founders.

3. Step: signing

  • We will contact you to schedule a signing appointment.
  • The necessary documents will be prepared in the required number of copies.
  • Please bring your personal documents (e.g., id card, residence card, tax card).
  • All parties must be present at the signing, except for remote identification.

4. Step: payment of subscribed capital

  • In the case of company formation, hungarian law requires a minimum subscribed capital of huf 3 million for a limited liability company (kft.) And at least huf 5 million for a joint-stock company (zrt.). This amount must be deposited into the business's bank account, and the bank will issue confirmation.

5. Step: registration in the company register

  • We electronically submit the founding document, proof of paid-in capital, and other necessary documents to the relevant company court.
  • The company court verifies the documents, and if everything is in order, officially registers the company.
  • In the case of company formation, the company court immediately provides a certificate containing the main data of the new company, its tax number, and statistical identification number. From the issuance of this certificate, the company can effectively operate as a legal entity.

6. Step: post-incorporation reporting obligations

  • Opening a bank account and registering with the national tax and customs administration (nav), central statistical office (ksh), and the municipality.
  • Obtaining permits and making notifications depending on the nature of the business.
  • Issuing an isin code and creating printed or dematerialized shares, if applicable.
  • Chamber registration.
  • Preparation of regulations and authorizations.
  • Reporting the employment relationships of executive officers and employees.

Foreign individuals with foreign citizenship can also establish individual or company enterprises in hungary. In this case, the process of company formation is supplemented with additional steps depending on the form of the business. Our law office in debrecen can provide information in english on this matter.

When to hire external legal counsel?

The ideal form of legal support can vary for each company, depending on its size, needs, and the frequency of legal issues. However, the following factors are worth considering before making a decision:

Extent of legal expertise needed: if legal issues arise infrequently or involve specialized areas where the management or internal legal team lacks expertise, hiring external legal counsel becomes beneficial.

Frequency of need: as a rule of thumb, consider the one-third ratio. If the company requires adequately trained legal assistance for less than one-third of the time in a month, outsourcing the work on an hourly basis may be cost-effective. This is applicable to project-based work or legal disputes. If the need exceeds one-third of the time, hiring a dedicated resource on a monthly fee basis might be more economical and efficient.

Budget Consideration: Hiring legal counsel can often be cost-effective, as the company only pays when there is a genuine need for legal advice. Additionally, a lawyer or law firm specializing in a particular area can resolve issues more quickly and efficiently than a general legal assistant.
